Terms of Service

Please read these Terms carefully before using AutoTally. The key things to know: you own your data, AI entries need your review before posting, and we are a tool — not a substitute for a qualified accountant.
01Acceptance of Terms
By creating an account, accessing, or using AutoTally (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms form a legally binding agreement between you and Turbosoft Technologies ("we", "us", "our"), a company registered in India.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to both you individually and the organisation.
If you do not agree to these Terms, do not use the Service.
02Description of Service
AutoTally is a SaaS platform that:
• Connects to your local Tally Prime instance via a Windows Bridge App.
• Allows you to upload accounting documents (invoices, Excel, PDFs, images, Word files) for AI-powered data extraction and journal entry creation.
• Provides an AI chat assistant for real-time accounting queries against your Tally data.
• Generates financial reports including Schedule III (Balance Sheet, P&L, Cash Flow), Trial Balance, Aging Reports, GSTR-2B reconciliation, and others.
• Maintains a complete audit log of all accounting actions with role-based attribution and undo/reversal capability.
The Service requires the AutoTally Bridge App to be installed and running on the Windows machine where Tally Prime is installed. The Service is provided "as is" and we may add, modify, or discontinue features at any time with reasonable notice.
03Accounts & Registration
You may register using your email address and a password, or via Google OAuth. You are responsible for:
• Providing accurate registration information.
• Maintaining the confidentiality of your credentials.
• All activity that occurs under your account.
You must notify us immediately at legal@autotally.in if you suspect unauthorised access to your account. We are not liable for losses caused by unauthorised use of your account where you have failed to keep your credentials secure.
You may not share your account credentials with others. Each account is for use by a single individual or organisation as defined at subscription.
04Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
• Use the Service to create fraudulent or fictitious accounting entries.
• Attempt to reverse-engineer, decompile, or extract source code from the Service or Bridge App.
• Attempt to gain unauthorised access to other users' accounts or our infrastructure.
• Use the Service to process data belonging to third parties without their consent.
• Circumvent, disable, or interfere with any security features of the Service.
• Use automated scripts, bots, or tools to access the Service in a way that places unreasonable load on our infrastructure.
• Resell or sublicense access to the Service without our written consent.
• Use the Service in any manner that violates applicable laws, including Indian GST, Companies Act, or FEMA regulations.
We reserve the right to suspend or terminate accounts found in violation of these restrictions without refund.
05AI Processing & Tally Integration
AutoTally uses a proprietary AI engine to extract data from documents and generate accounting entries. You acknowledge that:
• AI-generated entries are suggestions. You are responsible for reviewing every entry before it is posted to Tally Prime. The Service provides both manual approval and auto-approve modes — if you enable auto-approve, you accept responsibility for all entries posted automatically.
• The accuracy of AI extraction depends on the quality and legibility of your uploaded documents. We do not guarantee 100% accuracy.
• The Bridge App communicates with your local Tally Prime installation. You are responsible for ensuring Tally Prime is correctly configured and that your Tally data is backed up.
• We are not affiliated with Tally Solutions Pvt. Ltd. "Tally Prime" is a trademark of Tally Solutions. We integrate via Tally's published XML/HTTP API.
You are the accountable party for all financial records in your Tally instance. AutoTally is a tool to assist you; it does not constitute professional accounting or tax advice.
06Your Data & Content
You retain full ownership of all data you upload to AutoTally — including documents, accounting entries, and any content generated through your use of the Service.
By using the Service, you grant us a limited, non-exclusive licence to process, store, and display your content solely for the purpose of providing the Service to you.
We do not claim ownership over your accounting data, uploaded documents, or audit logs. You may export or request deletion of your data at any time as described in our Privacy Policy.
You represent that you have all necessary rights to the documents and data you upload, and that uploading them does not violate any applicable law or third-party rights.
07Subscriptions & Payment
Plans
AutoTally offers a free tier and paid subscription plans. Features available on each plan are described on our Pricing page and may change with notice.
Billing
Paid plans are billed in advance on a monthly or annual basis. Payment is processed by our payment processor. By subscribing, you authorise us to charge your selected payment method for the applicable subscription fee.
Taxes
Prices displayed are exclusive of applicable taxes. Indian users will be charged GST at the applicable rate. Users in other jurisdictions are responsible for any local taxes, VAT, or withholding taxes applicable to their purchase.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
Refunds
We do not offer refunds for partial billing periods. If you believe you have been charged in error, contact us at legal@autotally.in within 7 days of the charge and we will investigate.
Price changes
We may change subscription prices with 30 days' notice. Continued use after a price change takes effect constitutes acceptance of the new price.
08Bridge App
The AutoTally Bridge App is a Windows application that runs in the system tray and facilitates communication between the Service and your local Tally Prime installation. You agree that:
• The Bridge App must only be installed on machines you own or have authorised access to.
• You will not distribute, modify, or reverse-engineer the Bridge App.
• The Bridge App communicates over a local port. You are responsible for ensuring your firewall and network configuration do not expose this port to unauthorised parties.
• We may release updates to the Bridge App that are required for continued compatibility. You are responsible for keeping the Bridge App updated.
09Intellectual Property
All intellectual property in the Service — including the software, UI, brand, reports, and AI models we have developed — is owned by Turbosoft Technologies or our licensors. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the Service as described herein.
"AutoTally", the AutoTally logo, and related marks are trademarks of Turbosoft Technologies. You may not use our trademarks without our prior written consent.
10Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
• The Service will be uninterrupted, error-free, or completely secure.
• AI-generated accounting entries will be accurate or complete.
• The Service will be compatible with all versions of Tally Prime.
AutoTally IS A PRODUCTIVITY TOOL AND DOES NOT CONSTITUTE PROFESSIONAL ACCOUNTING, LEGAL, OR TAX ADVICE. YOU SHOULD ALWAYS HAVE A QUALIFIED CHARTERED ACCOUNTANT REVIEW YOUR FINANCIAL RECORDS.
11Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TURBOSOFT TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or business opportunities.
• Errors in AI-generated accounting entries posted to Tally Prime.
• Any loss arising from your failure to review AI-generated entries before posting.
• Downtime, service interruptions, or data loss.
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 5,000, WHICHEVER IS GREATER.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the minimum extent permitted by law.
12Indemnification
You agree to indemnify, defend, and hold harmless Turbosoft Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any accounting entries you approve or post to Tally through the Service.
• Any data you upload that infringes third-party rights.
13Termination
Either party may terminate the relationship under these Terms:
• You may delete your account at any time from your account settings.
• We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees after a cure period.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow export, then delete it (subject to legal retention obligations described in our Privacy Policy).
Clauses that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Governing Law) shall survive.
14Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts of India.
For users in the UAE and GCC: we acknowledge the applicability of local consumer protection laws and will engage in good faith to resolve disputes in compliance with applicable UAE regulations. Nothing in this clause limits your rights under mandatory local consumer law.
15Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the Service at least 14 days before the changes take effect.
Your continued use of the Service after updated Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service before the effective date.
16General
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Turbosoft Technologies with respect to the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
No waiver: Our failure to enforce any provision does not waive our right to do so in the future.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to a successor entity in a merger or acquisition.
Force majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including internet outages, third-party service failures, or acts of government.
